Club Rules

  1. Name: The Club shall be known as "The Coylton Tennis Club".
  2. Object: The Club's objects shall be: To promote the game of tennis. To maintain and improve the public tennis courts within the village of Coylton.
  3. Lawn Tennis Rules: The rules of the Lawn Tennis Association shall be observed for all games and tournaments.
  4. Management Committee: The affairs of the Club shall be administered by a Committee consisting of the following: President, Vice President, Hon. Secretary, Treasurer, plus not more than seven other elected members. All members of the Committee shall be elected at the Annual General Meeting and shall be eligible for re-election. The President will normally take the Chair and will not vote: but in the event of a tie, The President shall have the casting vote.
  5. Annual General Meeting: The Annual General Meeting shall be held in the month of February of each year. The Hon. Secretary shall give ten days notice. The Financial year shall be 1st January to 31st December. The Annual Report and the Financial Statement shall be submitted to this meeting. All new rules and changes to the existing rules shall require the assent of 75% of those voting members who are present. Ten members shall be needed for a quorum.
  6. Extraordinary General Meeting: The Committee shall call an Extraordinary General Meeting by giving ten days notice. The Hon. Secretary will prepare the agenda; no other business shall be conducted. Rule and By-law changes approved at the EGM must be ratified at the next AGM. On receipt of a request signed by seven or more members, the Hon. Secretary shall call an EGM within twenty-one days.
  7. Hon. Secretary: The Hon. Secretary shall record the proceedings of all meetings and be responsible for the safekeeping of all club records.
  8. Treasurer: The Treasurer shall furnish the Committee with a statement of accounts on request. The accounts shall separately identify the receipt and application of all contributions received from grant awarding bodies.
  9. Preparation of Accounts: An independent examiner shall be elected each year at the AGM.
  10. Membership: Membership of the Club will be open to all, irrespective of race, colour or nationality. Membership shall run from 1st April to 31st March each year. There will be five classes of members:
    1. Full members
    2. Family members (as defined in the By-laws)
    3. Junior members (as defined in the By-laws)
    4. Intermediate members (as defined in the By-laws)
    5. Honorary members (as defined in the By-laws)
  11. Subscriptions: The Committee will fix the subscriptions and playing fees (if any). These will be ratified at the AGM.
  12. Voting Rights: All adult members have full voting rights. Junior members are not entitled to vote.
  13. Emergency: In case of emergency, the President and the Hon. Secretary may act on behalf of the Club. A Committee meeting should be called as soon as practical.
  14. Funds: The Club shall not distribute profits and shall apply all of its income to the furtherance of the objects above. The Committee may raise funds. The work of the Club shall not be for the benefit of landfill site operators who may contribute to the Club and claim credit under the Landfill Communities Fund. Nor shall it be for the benefit of contributing third parties, as defined in the landfill tax regulations. In event of the Club being wound up, any remaining grant fund money shall be returned to the awarding bodies (for example, Landfill Communities Fund, Awards for All) or dealt with according to the policies laid down by those bodies. Any subsequently remaining assets of the Club shall be transferred to the Coylton Community Centre.
  15. Liabilities: The Club cannot accept any responsibility for any loss or injury to members or visitors.
  16. Expulsion: The full Committee has the power to suspend any member and the suspension shall stand until the AGM decides otherwise.
  17. Subcommittees: The Committee can appoint subcommittees for any purpose connected with the Club.
  18. By-laws: The Committee has the power to make new By-laws. All By-laws enacted by the Committee shall be enforced unless they are reversed at the AGM.
  19. Actions or Contracts: Any actions or contracts on behalf of the Club shall be in the joint names of any two of the President, Vice President, Hon. Secretary or Treasurer in their ex officio capacities and shall attach no personal liability to any Office Bearer, provided that their authority so to act has been approved by the Management Committee. No member of the Club shall be under any liability whatsoever beyond their annual subscriptions or become liable or responsible for any expenses on behalf of the Club.
  20. Lawn Tennis Association Compliance Provisions:
    A(i). Each member agrees as a condition of membership:
       (a) To be bound by and subject to these rules as in force from time to time;
       (b) To be bound by and subject to the Rules and the Disciplinary Code, where “Disciplinary Code” means the disciplinary code of the Lawn Tennis Association (LTA) in force from time to time, “LTA” means “LTA CLG” (Lawn Tennis Association Company Limited by Guarantee)and its subsidiaries or such successor entity or entities as become the governing body of the game of lawn tennis from time to time, “Member” means a member of the club and “Rules” means the rules of the LTA as in force from time to time.
    A(ii). Rule Ai confers a benefit on the LTA and, subject to the remaining provisions of this rule, is intended to provide third party rights to and to be enforceable by the LTA at its option and in its sole discretion. No amendment, variation, or revocation may be made to the terms of rule Ai without the prior written consent of the LTA. The identity of each member shall be notified to the LTA by the club in accordance with the LTA’s directions from time to time. Such notification shall, with effect from the date of such notification, constitute intimation of, and shall entitle the LTA to enforce, the third party rights referred to above in respect of the period both before and after such intimation. For the avoidance of doubt, the members do not intend that any terms of these rules, apart from rule Ai, should be enforceable by any person who is not a party to this agreement.
    A(iii). The Management Committee may terminate the membership of any person, or impose any other sanction they determine to be appropriate, in connection with the breach of any condition of membership set out in this rule.
    B. Coylton Tennis Club agrees that each member of the Management Committee will be required, as a condition of election or appointment, to agree to be bound by and subject to these rules, the Rules and Disciplinary Code, such agreement to contain an express acknowledgement that: (i) the agreement confers a benefit upon the LTA ; (ii) the agreement creates third party rights in the LTA’s favour; (iii) both or one of the LTA and/or the club can enforce any breach at its/their option and in its/their sole discretion; (iv) the agreement may not be varied, amended or revoked without the prior written consent of the LTA; and (v) the identity of each member of the Management Committee shall be notified to the LTA by the club in accordance with the LTA’s directions from time to time and that such notification shall, with effect from date of such notification, constitute intimation of, and shall entitle the LTA to enforce, the third party rights referred to above in respect of the period both before and after such intimation.
    C. Coylton Tennis Club agrees that all unlicensed and unregistered coaches and, so far as reasonably practicable, players and other persons using the facilities of the club will be required, as a condition of such use, to agree to be bound by and subject to these rules, the Rules and Disciplinary Code, such agreement to contain an express acknowledgement that:
       (i) the agreement confers a benefit upon the LTA;
       (ii) the agreement creates third party rights in the LTA’s favour;
       (iii) both or one of the LTA and/or the club can enforce any breach at its/their option and in its/their sole discretion;
       (iv) the agreement may not be varied, amended or revoked without the prior written consent of the LTA and;
       (v) the identity of each person to whom such agreement relates shall be notified to the LTA by the club in accordance with the LTA’s directions from time to time and that such notification shall, with effect from the date of such notification, constitute intimation of, and shall entitle the LTA to enforce, the third party rights referred to above in respect of the period both before and after such intimation.
